help me build a system

I have an AMD Athlon 64x2 dual core processor 6400+ 3.2 ghz 2000 mhz hyper transport. 2mb L2 cache, socket am2. black edition.
2gb 800 mhz corsair ddr2 memory.
a geforce 8600 pci express graphics card 256 mb ram.
500 watt power supply
and a huge case with led lights and big dumbass fans. mostly I need help picking out the right motherboard, fan, hard drive, and operating system. and then tips on puting it all together, this is my first time. i only plan to spend around 350 bucks for all the rest of the stuff i need. any thoughts you have would be appreciated.

Do you already have those parts, or are you just planning on ordering them?
What will you be using the computer for?
Also, to save you some money, I'd recommend downloading Win XP Pro. Then getting all the updates from http://windizupdate.com/
You can get the latest service packs and everything... It'll save you a good chunk of change.

I already have them parts in hand at my house. Im going to be doing some gaming like battlefield 2012, and just internet surfing and playing mp3's and stuff. I want a motherboard with allot of room to upgrade to better stuff in a few years.

Ok-- so the equipment listed in your first post is hardware that you're planning on putting into this new computer and is NOT the description of your old computer which you are replacing.
That was confusing 
I stand firmly by Seagate drives. They are the finest for consumer market, they're quiet, sturdy and have a 5-year warranty anyhow. You shouldnt have a hard time picking something out. Get one with a SATA interface.
As for the motherboards, here's two that you might find acceptable.
Both boards support several processors higher than yours (so you can upgrade in a couple years) and both will accept your 800MHz RAM while allowing you to eventually upgrade to 1066 in the future (good to do when you do the CPU as there are some speed compatibility issues I can go over if necessary).

Both boards have PATA support if you have older drives you want to connect while also supporting 6 newer SATA devices. I like to have that versatility option.
Both boards support PCI express 2.0 as well.
Pretty nice setup you'll have there. I just ordered a completely new system for myself yesterday, first upgrade in 7 years!

Damn, shitty. That's good to know, though. Maybe OP could go ahead and try to RMA that video card.
The gigabyte board has good onboard video to get him by in the meantime, but damn, that's good to know.
