They do lose potency over time. If the chocolate was made right, it might actually help avoid exposure to light, air, heat, etc. (if it's at a nice cool temp). But, keep in mind it'll still be weak, as its a chocolate.
As for the mushrooms. I had mine kept over the summer in a non air conditioned room. around 3-4 months total for some of them. They weren't as cracker dry eventually (bad storing) but they definately worked just as well.
On the other hand my friend had some for just as long, and he ate over an 1/8 at the end of the summer, and he barely tripped.
