Intellectual property waiver

I have an idea for a business. I am going to pay a graphic designer(who only does it as a hobby, not professionally), to create the logo and some artwork to go along with it, for which I will be providing rather specific details about the style and overall theme. What the graphic designer will create could have commercial usage in the future, but what I don't want is to for the graphic designer to sue me and collect royalties for work that was created in case this business becomes very successful. I'm paying for it and I want what is created for me to be my property.

What can I do to protect myself from litigation? Is there a specific type or waiver for all future rights I should make the graphic designer sign?

A simple contract is all you need.  Something along the lines of:

Logo Design Contract of Agreement

This logo design agreement is entered into as of May 11th, 2011, between John Doe (designer) and Jane Doe (client).

This agreement is being entered into for the purpose of ...

The client is hereby obligated to pay the designer (price) for services rendered.  On (date) the designer shall deliver (product) to the client.

The designer affirms that the logo designs and artwork are original and the rights granted do not conflict with any other agreement.

The client assumes full ownership and copyright upon payment for the completed project.  No reproduction rights on the copyrighted work are retained by the designer.  The work may not be reproduced in any form without consent from the client.




Sign and date in blue ink.

Typically, you would also include remedies and specify what court has jurisdiction over the contract.  You might also include details as to how the artwork is to be provided (file types) and on what media.  You may also want to include delay and termination clauses... acceptance clauses, etc...
